Subscription Terms
How billing, renewal, cancellation, and refunds work for subscription licenses.

These Subscription Terms (“Subscription Terms”) supplement the Terms of Service and, for subscription-based licenses to use an Application, the License Agreement. They govern subscription billing, renewal, cancellation, refunds, and other subscription-specific matters. Unless otherwise defined in these Subscription Terms, capitalized terms have the meanings given in the Terms of Service and, for Application-specific licensing terms, the License Agreement. If there is a direct conflict between these Subscription Terms and the Terms of Service or License Agreement, these Subscription Terms control only for the subscription-specific subject matter they expressly address.
By purchasing or activating a subscription, You agree to be bound by these Subscription Terms.
Subscription Basics
Subscription Period
When You purchase a subscription, You are purchasing a license to use the Application for a defined period of time (the “Subscription Period”). Subscription Periods are offered on a quarterly (approximately 90-day) or yearly (approximately 365-day) basis, as described on the applicable product or purchase page at the time of purchase.
Automatic Renewal
YOUR SUBSCRIPTION WILL AUTOMATICALLY RENEW for successive Subscription Periods of the same length unless You cancel before the end of the current Subscription Period. The renewal charge will be at the then-current subscription rate, which may differ from Your original rate. By subscribing, You authorize the Company and its payment processor to charge Your payment method on file for each renewal period.
Free Trials
The Company may offer free trial periods for certain subscription tiers. A valid payment method (such as a credit or debit card) is required to begin a free trial, but You will not be charged during the trial period. At the end of the free trial period, Your subscription will automatically convert to a paid subscription and Your payment method will be charged unless You cancel before the trial period ends. The duration and terms of any free trial will be disclosed at the time of enrollment.
If You cancel during a free trial, Your access to the Application will end immediately. Unlike paid subscription cancellations, free trial cancellations do not provide access through the end of any period. You will not be charged.
Free trials are limited to one per Application per user. The Company reserves the right to determine trial eligibility and to deny or revoke trials in cases of abuse, misuse, or violation of these terms.
Fees and Payment
Fees
All Fees are as described on the applicable product or purchase page at the time of purchase. Unless otherwise specified, all Fees are in U.S. Dollars and are exclusive of applicable taxes.
Payment Processing
Payments for subscriptions are processed by our third-party payment processor, Paddle (Paddle.com Market Limited or its affiliates), which acts as the Merchant of Record for transactions. By purchasing a subscription, You also agree to Paddle’s Buyer Terms, available at https://www.paddle.com/legal/buyer-terms. Paddle is responsible for payment processing, invoicing, and tax collection. The Company does not store or collect Your payment card details.
Automatic Payment
For subscriptions with automatic payment, the payment processor will automatically charge the credit card, debit card, or other payment method on file according to the billing cycle associated with Your Subscription Period. You authorize all such charges. Copies of Your bills or transaction history are available through Your account with the payment processor.
Taxes
You are responsible for all duties, taxes, and levies that apply to Fees, including sales, use, VAT, GST, or withholding taxes. These are collected and remitted by the payment processor as required by applicable law.
Price Changes
The Company reserves the right to change subscription pricing at any time. If the Fees for Your subscription increase, We will provide at least thirty (30) days’ notice before the new pricing takes effect. The updated pricing will apply at Your next renewal date following the notice period. If You do not agree to the new pricing, You may cancel Your subscription before the renewal date.
Payment Disputes
If You have a good-faith disagreement about the Fees charged, You must notify the Company or the payment processor about the dispute within thirty (30) days of the charge. We will work together to resolve the dispute. Undisputed amounts remain due and payable.
Cancellation
How to Cancel
You may cancel Your subscription at any time through Your Video Village account at https://license.videovillage.com or by contacting Us at support@videovillage.com. Because subscriptions are enrolled online, cancellation is available online in accordance with applicable law, including the California Automatic Renewal Law.
Effect of Cancellation
If You cancel a paid subscription, Your cancellation will take effect at the end of the current Subscription Period. You will continue to have access to the Application under Your subscription license until the end of the period You have already paid for. After the current Subscription Period expires, Your subscription license will terminate and the Application will no longer be available for use under that license.
If You cancel during a free trial, Your access to the Application will end immediately upon cancellation and You will not be charged. See the “Free Trials” section above for details.
No Partial Refunds on Cancellation
Unless otherwise required by applicable law, cancellation does not entitle You to a refund of any Fees already paid for the current Subscription Period. Fees are charged in advance for each Subscription Period and are non-refundable except as described in the “Refunds” section below.
Refunds
Refund Eligibility
Refunds may be available in the following circumstances:
- Initial subscription cooling-off period: If You are entitled to a cooling-off or cancellation period under applicable consumer protection law (such as the EU’s 14-day withdrawal right), You may request a full refund within that period.
- Defective software: If the Application has a material defect that substantially prevents its primary intended use as documented in the Application’s specifications, and We are unable to resolve the issue within a reasonable time, We may, at Our sole discretion, offer a prorated refund or service credit for the unused portion of Your Subscription Period. For the avoidance of doubt, a “material defect” does not include incompatibility with third-party hardware, software, host applications, or operating system versions, nor does it include the absence of features not documented in the Application’s specifications at the time of purchase.
- Duplicate or erroneous charges: If You are charged in error or charged twice for the same Subscription Period, We will issue a full refund of the duplicate or erroneous charge.
Non-Refundable Situations
Except as required by applicable law, refunds are generally not available for:
- Change of mind after the applicable cooling-off period has expired.
- Failure to cancel before an automatic renewal.
- Dissatisfaction with features or functionality that were accurately described at the time of purchase.
- Inability to use the Application due to incompatible hardware, software, or third-party host applications.
Effect of Refunds on Your License
If a full refund is issued for all payments associated with Your license, Your license will be revoked and You will no longer have access to the Application under that license. If a partial refund is issued, Your access period may be adjusted accordingly.
How to Request a Refund
To request a refund, contact Us at support@videovillage.com with Your account details and the reason for Your request. Refund requests are processed through the payment processor and, if approved, will generally be returned to Your original payment method or another method made available by the payment processor or applicable law. Processing times may vary.
Subscription and License Lifecycle
Active Subscription
During an active Subscription Period, Your subscription license allows You to use the Application in accordance with the License Agreement. If the Company provides Updates, those Updates are governed by the License Agreement.
Lapsed Subscription
If Your subscription lapses due to cancellation, non-renewal, or non-payment, Your subscription license will terminate at the end of the last paid Subscription Period (or immediately in the case of a free trial cancellation). Upon termination, the Application will no longer be available for use under the expired subscription license. Content that You process locally using the Application (such as media files, look-up tables, presets, and project files) remains entirely Yours and is not affected by subscription termination.
Failed Payments
If Your payment method fails at the time of a renewal or first charge after a free trial, the payment processor may retry the charge according to its standard retry schedule. During this period, Your access to the Application may be suspended. If payment cannot be collected after retries, Your subscription will be cancelled and Your license will terminate.
Reactivation
You may reactivate a lapsed subscription by purchasing a new subscription through the applicable product or purchase page. Reactivation may be subject to then-current pricing and terms.
Renewal Reminders
Where required by applicable law, we will send the subscription reminders and notices required by law. Those reminders will include the product or service being renewed, the frequency and amount of recurring charges, and instructions on how to cancel. Reminders will be sent using the contact information associated with Your account or another method permitted by applicable law. It is Your responsibility to keep Your contact information current; the Company is not liable for non-delivery caused by outdated, invalid, or inaccessible contact information.
Upgrades and Downgrades
Changing Your Subscription Tier
You may upgrade or downgrade Your subscription tier at any time through Your Video Village account. Changes to Your subscription tier may take effect immediately or at the start of Your next Subscription Period, depending on the nature of the change.
Upgrade to Perpetual License
For certain Applications, the Company may offer a program under which some subscription payments are credited toward the purchase of a perpetual license, as described on the applicable product or purchase page. Unless otherwise expressly stated at the time of purchase, the Company may change the terms, limits, or eligibility requirements for that program, or suspend or discontinue it, for future purchases or renewal periods.
Prorating
If You upgrade during a Subscription Period, You may be charged a prorated amount for the remainder of the current period at the new tier’s rate. If You downgrade, the new rate will typically apply at Your next renewal.
Suspension and Termination
The Company’s general rights to suspend or terminate access are described in the Terms of Service and the License Agreement. This section describes the subscription-specific effect of suspension or termination.
If Your subscription access is suspended for non-payment, breach, or misuse, the current Subscription Period will continue to run unless the Company states otherwise in writing.
If Your subscription is terminated for breach or non-payment, Your recurring renewal authorization for future periods will end, Your subscription license will terminate as of the effective termination date, and any refund rights will be governed solely by these Subscription Terms and applicable law.
California Automatic Renewal Disclosures
In compliance with California Business and Professions Code §§ 17600-17606:
- Your subscription will continue and You will be charged on a recurring basis at the then-current rate until You cancel.
- You may cancel Your subscription at any time by visiting https://license.videovillage.com or by contacting Us at support@videovillage.com.
- Full terms of the offer, including the Subscription Period length, pricing, and free trial duration (if applicable), are presented to You before You complete Your purchase.
Incorporated Terms
The Governing Law, Dispute Resolution, Force Majeure, Assignment, Survival, Severability and Waiver, and Entire Agreement sections of the Terms of Service are incorporated by reference into these Subscription Terms. For purposes of those incorporated sections, references to “the Service” include the applicable Subscription and related account or billing services, and references to “these Terms” include these Subscription Terms where the context requires.
In addition to the Survival section of the Terms of Service, the sections titled “Fees and Payment,” “Refunds,” and “Suspension and Termination” of these Subscription Terms survive any termination or expiration to the extent needed to give effect to accrued rights or obligations.
Changes to These Subscription Terms
The Company may update these Subscription Terms from time to time. Material changes to automatic renewal or continuous service terms will be disclosed as required by applicable law, including California Business and Professions Code Section 17602, and the notice will explain how to cancel. Fee changes are governed by the “Price Changes” section above.
By continuing Your Subscription or using the Application after any revisions become effective, You agree to be bound by the revised terms. If You do not agree to a material change, You may cancel Your subscription before the next renewal date.
